1. Introduction

Welcome to Empinet. These Terms and Conditions (“Terms”) govern your access to and use of our website, services, and products, including but not limited to BandPlace (band.place) and PostRockNation (postrocknation.com). These Terms constitute a legally binding agreement between you and Empinet, an Einzelunternehmen registered in Germany and operated by Mahdi Hezaveh.

By accessing or using our services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our services.

2. Scope of Application

• All services provided by Empinet, including but not limited to software development, SaaS products, and consulting services
• All content, features, and functionality available through our services
• All project inquiries, service agreements, and client engagements

Empinet provides the following professional services:

• Custom software development and engineering
• SaaS product development and maintenance
• Website and web application development
• Technical consulting and project management
• Operation of digital platforms including BandPlace and PostRockNation

4. User Obligations and Acceptable Use

When using our services, you agree to:

• Provide accurate and complete information when making inquiries or engaging our services
• Comply with all applicable laws and regulations
• Respect intellectual property rights and not infringe on any third-party rights
• Not engage in any activity that could harm, disable, or impair our services
• Not attempt to gain unauthorized access to our systems or data

We reserve the right to suspend or terminate access to our services for any user who violates these Terms.

5. Intellectual Property

Unless otherwise specified in a separate agreement, all rights not expressly granted in these Terms are reserved by Empinet.

6. Pricing and Payment Terms

Pricing for our services will be provided in individual project proposals or service agreements. Payment terms, including rates, billing cycles, and accepted payment methods, will be specified in the relevant service agreement or invoice.

Unless otherwise agreed in writing, payment is due within 14 days of invoice date. Late payments may be subject to interest charges as permitted by law.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Empinet and its owner shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of, or inability to access or use, our services
• Any conduct or content of any third party on our services
• Any content obtained from our services
• Unauthorized access, use, or alteration of your transmissions or content

Our total liability for any claims under these Terms shall not exceed the amount you paid us, if any, for accessing our services in the 12 months preceding the event giving rise to the claim.

8. Warranty Disclaimer

Our services are provided on an “as is” and “as available” basis without any warranties of any kind, either express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that our services will be uninterrupted, secure, or free from errors or harmful components, or that any defects will be corrected.

Our services may contain links to third-party websites or services that are not owned or controlled by Empinet. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

You acknowledge and agree that Empinet shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such third-party websites or services.

11. Governing Law and Jurisdiction

However, we reserve the right to bring proceedings against you for breach of these Terms in your country of residence or any other relevant country.
